The specific scope, deliverables, timeline, and fees for your engagement are set out in a separate written proposal or service agreement. Where those documents conflict with these terms, the signed agreement takes precedence.

3. Accounts and Access

Some features require an account. You are responsible for keeping your credentials confidential and for activity that occurs under your account.

Access is granted on a role basis. You agree not to attempt to access data or functions outside the role assigned to you.

Notify us promptly if you believe your account has been compromised.

4. Client Responsibilities

You agree to provide accurate information, timely feedback, and any access or materials reasonably needed for us to perform the services.

Delays in providing required inputs may affect agreed timelines.

You confirm you have the rights to any content, credentials, or materials you supply to us.

5. Fees and Payment

Fees, billing frequency, and payment terms are set out in your proposal or service agreement.

Unless stated otherwise, invoices are payable within the period specified on the invoice. Late payment may result in suspension of services.

Quoted prices exclude taxes and duties unless expressly stated.

6. Intellectual Property

You retain ownership of the content and materials you provide to us.

Unless your service agreement states otherwise, deliverables created specifically for you transfer to you on full payment.

We retain ownership of our pre-existing tools, frameworks, templates, and know-how used to produce those deliverables.

Our website, branding, and platform remain our property.

7. Confidentiality

Each party agrees to protect the other's confidential information and to use it only for the purpose of the engagement.

This obligation continues after the engagement ends.

8. Acceptable Use

You agree not to misuse our website or platform, including attempting to gain unauthorised access, interfering with normal operation, uploading malicious code, or using the services for unlawful purposes.

9. Third-Party Services

Our services may integrate with third-party platforms. Your use of those platforms is governed by their own terms, and we are not responsible for their availability or conduct.

10. Warranties and Disclaimers

We will perform our services with reasonable skill and care.

Other than as expressly stated, our website and services are provided on an "as is" basis without further warranties, to the extent permitted by law.

We do not guarantee specific business outcomes, revenue results, or rankings.

11. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential losses, including lost profits or lost data.

Our total aggregate liability arising from an engagement is limited to the fees paid by you for the services giving rise to the claim.

Nothing in these terms excludes liability that cannot lawfully be excluded.

12. Term and Termination

Either party may terminate an engagement in accordance with the notice period in the service agreement.

On termination, you remain responsible for fees for work performed up to the termination date.

We may suspend or terminate access immediately for material breach of these terms.

13. Changes to These Terms

We may update these terms from time to time. Continued use of our services after changes take effect constitutes acceptance of the revised terms.

14. Governing Law and Disputes

These terms are governed by the laws specified in your service agreement.

The parties will first attempt to resolve any dispute in good faith before pursuing formal proceedings.
